TERMS OF SERVICE

These Terms of Service govern your use of HB Flipbook, a product owned and operated by Heywood & Beaudry Creative Inc., Vancouver, British Columbia, Canada.

1. Acceptance of terms

By creating an account or using HB Flipbook, you agree to these Terms of Service.

2. Eligibility

Account holders must be at least 18 years old or otherwise legally capable of entering into this agreement.

3. Accounts

Customers are responsible for:

  • providing accurate account information
  • maintaining the security of their account
  • activity occurring through their account
  • promptly reporting suspected unauthorized access

4. Customer content

Customers retain ownership of the PDFs, images, logos, text and other content they upload to HB Flipbook.

The customer grants Heywood & Beaudry Creative Inc. only the limited rights reasonably necessary to host, process, display and distribute that content through HB Flipbook according to the customer's selected settings.

HB Flipbook does not obtain ownership of customer content.

5. Customer responsibility

Customers are responsible for ensuring they have the legal rights and permissions necessary to upload, publish, embed and distribute their content.

Customers must not use HB Flipbook to upload or distribute content that:

  • infringes copyright, trademark or other intellectual-property rights
  • is unlawful
  • contains malware or malicious code
  • is intentionally harmful
  • violates another person's privacy rights
  • is fraudulent
  • is otherwise prohibited by applicable law

Heywood & Beaudry Creative Inc. may suspend or remove content or accounts where reasonably necessary for security, legal compliance or enforcement of these Terms.

6. Public publications

When a customer publishes a publication publicly, it may be accessible through a public link, embed or public publisher page.

Customers are responsible for selecting publication privacy settings appropriate for their content.

7. Password-protected publications

Password protection provides an additional access-control mechanism.

No internet security mechanism can guarantee absolute confidentiality, and customers should consider the sensitivity of information before publishing it online.

8. Lead capture

Customers who enable lead capture are responsible for:

  • determining what information they collect
  • providing appropriate privacy notices
  • obtaining consent where required
  • complying with applicable privacy and marketing laws
  • using collected information lawfully

9. Plans and subscriptions

HB Flipbook offers Free and paid subscription plans.

Paid subscriptions may be offered monthly or annually.

Current plans, features and prices are displayed on the HB Flipbook Pricing page.

10. Billing

Paid subscriptions are processed by Stripe.

Subscriptions automatically renew unless cancelled.

11. Cancellation

You may cancel a paid subscription at any time. Unless otherwise stated, cancellation takes effect at the end of your current paid billing period and you will retain access to your paid plan until that date.

12. Refunds

Subscription fees are generally non-refundable once charged, except where required by applicable law or where Heywood & Beaudry Creative Inc. determines otherwise in its discretion.

13. Downgrades

Plan limits may apply after a downgrade.

Existing publications will be handled according to the product rules applicable to the customer's new plan.

A customer may be prevented from publishing additional publications until their usage is within the limits of their current plan.

14. Complimentary accounts

Heywood & Beaudry Creative Inc. may grant complimentary or promotional access at its discretion.

Complimentary access:

  • does not create an entitlement to future free service
  • may be changed or withdrawn
  • does not create a Stripe subscription unless separately purchased

15. Service availability

HB Flipbook aims to provide reliable service, but uninterrupted or error-free operation cannot be guaranteed.

The service may occasionally be unavailable because of maintenance, provider outages, technical issues or circumstances outside our reasonable control.

16. Third-party services

HB Flipbook relies on third-party providers for services including hosting, authentication and payment processing.

Availability or functionality may sometimes depend on those third-party services.

17. Suspension and termination

Heywood & Beaudry Creative Inc. may suspend or terminate an account where we reasonably believe the account:

  • violates these Terms
  • creates a security risk
  • misuses the service
  • fails to pay applicable fees
  • violates applicable law
  • infringes another person's rights

18. Account deletion

Customers may delete their account through the available account controls, subject to restrictions necessary to protect shared workspaces and other users.

19. Intellectual property

HB Flipbook software, interface, branding and related platform materials are owned by Heywood & Beaudry Creative Inc. or its licensors.

Customer content remains the property of the customer or its respective rights holder.

20. Disclaimer

To the extent permitted by applicable law, HB Flipbook is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement.

Nothing in these Terms limits or excludes any right or remedy that cannot legally be limited or excluded.

21. Limitation of liability

To the maximum extent permitted by applicable law, Heywood & Beaudry Creative Inc. will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost revenue or lost or corrupted data arising out of or relating to HB Flipbook.

To the maximum extent permitted by applicable law, our total aggregate liability arising out of or relating to HB Flipbook is limited to the greater of (a) the amounts you paid to us for HB Flipbook during the twelve months immediately before the event giving rise to the claim, or (b) CAD $100.

22. Indemnification

You agree to indemnify and hold harmless Heywood & Beaudry Creative Inc. from third-party claims, damages, losses and reasonable costs arising from your content, your use of HB Flipbook in a manner that is unlawful or infringes another person's rights, or your violation of these Terms.

23. Governing law

These Terms are governed by the laws of the Province of British Columbia and the applicable federal laws of Canada, without regard to conflict-of-law principles.

The courts located in British Columbia will have jurisdiction over disputes arising from these Terms, except where applicable law provides you with a different right.
